Schedule P — Marketing, Publicity and Social-Proof License. Version v1, effective September 29, 2026.
This Schedule is part of the Nexus Client Services Agreement and of the other Nexus client agreements that refer to it. "Provider" is Nexus Growth Engine LLC; "Client" and "Agreement" are as defined in the agreement that refers to this Schedule. Questions: info@nexusgrowthengine.com.
SCHEDULE P: MARKETING, PUBLICITY AND SOCIAL-PROOF LICENSE
P.1 Definitions.
(a) "Client Marks" means Client's business names, trade names, d/b/a names, brands, logos, trademarks, service marks, trade dress and social-media handles, including any owned by an affiliate of Client that Client is authorized to license.
(b) "Work Showcase" means screenshots, screen recordings, walkthrough video and live links of the websites, pages, funnels, dashboards, automations, content, creative and other work Provider builds, configures or operates for Client. It includes side-by-side "before and after" comparisons of Client's own prior public-facing surfaces against Provider's work. Everything is redacted as P.7 requires.
(c) "Client Content" means photographs, video, audio, graphics and copy depicting Client's work, projects, products, premises, vehicles, team or events that Client supplies to Provider, publishes on its own channels, or allows Provider to capture.
(d) "Testimonial" means any statement of opinion, belief, finding or experience about Provider that is attributed to Client or to a named or identifiable individual, in any form, including a quote, a rating, a review, or an audio or video statement.
(e) "Figure" means any number, metric, result, rate, percentage, ranking, multiple, comparison or outcome relating to Client's business or to the engagement. Provider's own counts of its own work (for example, pages built, automations configured, or days to launch), prices, and dates are not Figures.
(f) "Case Study" means a narrative describing the engagement.
(g) "Channels" means Provider's websites and landing pages; Provider's social-media accounts, organic and paid, on any platform (including Facebook, Instagram, Threads, TikTok, LinkedIn, YouTube, X and Google, and their successors); paid advertising in any medium; email and newsletters; proposals, sales decks and sales scripts; partner, reseller, investor, lender, acquirer and due-diligence materials; press releases, media, podcasts, award entries, speaking and events; and printed collateral.
(h) "Release" means a written release, signed by an individual (or, for a minor, by a parent or guardian) on Exhibit P-1 or Exhibit P-2 or in another writing that names Provider, authorizing the use of that individual's name, image, likeness, voice or statement in advertising.
P.2 License. Client grants Provider a non-exclusive, worldwide, royalty-free, fully paid-up license, for the period in P.9, to use, reproduce, display, perform, distribute and publicly communicate the Client Marks, the Work Showcase, Client Content, Case Studies, and Testimonials and Figures approved under this Schedule. The license covers all Channels, in any media now known or later developed, and exists to identify Client as a client of Provider and to advertise and promote Provider and its services. Provider may adapt licensed material for format, including by cropping, resizing, captioning, subtitling, translating and shortening. Provider may not do so in a way that changes the meaning of a Testimonial or a Figure. Provider may extend this license to its contractors, agencies and platforms, solely so they can produce, host, target or distribute Provider's materials. The license covers licensed material whenever it was created. Provider is not obliged to use anything.
P.3 Approval levels.
(a) Level 1: standing, no further approval.
(i) Identifying Client by name and Client Marks as a client or former client, with its industry, general location, and the general nature and dates of the Services.
(ii) The Work Showcase, and a link to Client's live site.
(iii) Re-sharing or embedding, with credit and a tag, Client Content that Client has itself published publicly.
(iv) Tagging, mentioning and linking Client's accounts.
(v) A factual description limited to what Provider built, configured, operated or delivered, and when.
(b) Level 2: submit, then deemed approved. This level covers Case Studies (without any Testimonial or Figure), any paid advertisement that features Client Marks or Client Content, press releases naming Client, and Client Content that Client supplied but has not itself published. Provider sends the final asset, or one representative template for a series, to the Approver by email. If the Approver does not object in writing within five (5) business days, the asset is approved for that use and for reuse without change. An objection stops that use, and the parties will work in good faith on a revision.
(c) Level 3: affirmative written approval only. Silence is never approval. This level covers:
(i) Testimonials (P.4);
(ii) Figures (P.6);
(iii) any identifiable individual (P.5);
(iv) any identifiable customer property (P.5(c));
(v) any statement about Client's licensure, its prices to its customers, its financial condition, ownership, entity structure or affiliates; and
(vi) any use suggesting that Client endorses anything other than Provider's services.
P.4 Testimonials: the words must be the person's own.
(a) A Testimonial will contain only words actually spoken or written by the person it is attributed to, whether in writing, in a recorded interview, or in audio or video that person recorded or agreed to record. Provider will not write a Testimonial for anyone. Provider may excerpt, shorten, correct grammar and caption a Testimonial without changing its meaning.
(b) Before first publication, the person approves in writing the exact final text or final cut and signs a Release. If that person is not the Approver, the Approver also approves in writing.
(c) Voluntary and uncompensated. Neither Client nor its personnel must give any Testimonial or review. No fee, discount, credit, term or other benefit under the Agreement depends on whether a Testimonial or review is given or on what it says. Provider will not ask for any particular sentiment. If Client chooses to post a review of Provider on a third-party platform, Client writes it. Provider will not draft it, edit it, incentivize it or filter it.
(d) Currency. Provider will present a Testimonial as coming from a current client only while Client is a client. Provider will re-confirm that the person still holds the view at least every twelve (12) months, and whenever Client asks.
(e) Disclosure. Where the law requires it, Provider will clearly and conspicuously disclose any material connection between Provider and Client or the person giving the Testimonial. Client agrees that such a disclosure may appear next to any use.
P.5 People and properties.
(a) Provider will not use the name, image, likeness, voice or statement of any identifiable individual, whether Client's owner, employee, contractor or customer or anyone else, unless Provider holds a Release from that individual. Client cannot consent on any individual's behalf. On Provider's request, Client will use reasonable efforts to obtain Releases from its own personnel and customers and will deliver the signed Releases to Provider. Provider will blur or crop out any face or other identifying feature that a Release does not cover.
(b) Each individual who signs this Schedule for Client also signs it in his or her own capacity, as a Release of that individual's own name, title, image, likeness and voice for use under this Schedule.
(c) Provider will not show a customer's address, house number, street view, or any feature from which a property or its owner can reasonably be identified unless Provider holds that customer's Release on Exhibit P-2. Otherwise, depictions of customer projects are de-identified.
(d) Material used under a Release is used under that Release, and not as Client's personal data, for the purposes of any personal-data restriction in the Agreement. Provider will never use any individual's contact details, any lead or customer record, or any communication for Provider's own marketing, outreach or list-building.
P.6 Figures. Provider may publish a Figure only if all of the following are true:
(i) Client has approved in writing the exact Figure, the period it covers, and the words around it;
(ii) the Figure is Client's actual measured result, taken from records that Client supplies or gives Provider read-only access to, and Provider keeps those records;
(iii) the Figure is not extrapolated, annualized, rounded up, or combined with other clients' results; and
(iv) nothing in its presentation states or implies that the Figure is typical or that any other business will achieve it.
Client's approval is a permission, not a request. Provider alone decides whether and when to publish any Figure, subject to Provider's own compliance review, and may decline.
P.7 Confidentiality and exclusions. Nothing in this Schedule permits Provider to disclose:
Client's customer, lead or contact lists or data;
Client's prices, quotes, margins, financial statements, or bank or payment details;
any credentials;
any information Client marks or identifies in writing as confidential;
trade secrets; or
the terms of the Agreement, other than the fact of the engagement.
Before use, Provider will redact all of the above from screenshots and recordings. Material approved for publication under Level 2 or Level 3 is no longer confidential information. For each use this Schedule permits, on the approvals it requires, this Schedule is Client's prior written consent under every confidentiality, publicity and case-study provision of the Agreement.
P.8 Platforms.
(a) Provider may tag, mention, link, and co-author (for example, as an Instagram or Facebook "Collab") posts with Client's accounts. Provider may boost or promote its own posts that feature Client under Level 1 or Level 2.
(b) Provider may run an ad through Client's handle, such as a Meta partnership ad, a TikTok Spark Ad or a LinkedIn thought-leader ad, only for content approved under Level 2 or Level 3, and only with Client's in-platform permission. Client may grant that permission for a single post or for its whole account, and may withdraw it in the platform at any time. Provider pays for that advertising. No ad account, payment method or ad budget of Client's is used for Provider's advertising.
(c) Client may re-share, tag and link Provider's posts about Client.
(d) Each party will comply with the terms and advertising policies of each platform. Neither party will buy or use fake followers, views, engagement or reviews. Where a platform requires a paid-partnership or branded-content label, Provider will apply it.
P.9 Term, revocation and takedown.
(a) Term. The license begins on signature. It continues for the rest of the Agreement and after the Agreement ends, until it is revoked under (b).
(b) Revocation. Client may revoke all or part of this license, for future uses, by email to info@nexusgrowthengine.com. After a revocation, Provider will stop new uses and will:
pause or remove paid ads within three (3) business days;
remove the material from its websites within ten (10) business days;
stop distributing affected decks and collateral within ten (10) business days; and
if Client's request identifies specific organic social posts, delete or archive them within fifteen (15) business days.
(c) Correction. Within two (2) business days after notice, Provider will correct or remove any inaccurate statement, and any use made without an approval or Release that this Schedule requires.
(d) When the Agreement ends. Within thirty (30) days, Provider will remove or re-label any use that presents Client as a current client or a Testimonial as current. Provider may continue to identify Client as a former client, show the Work Showcase as past work, and use approved Case Studies in the past tense.
(e) Not affected by revocation. A revocation does not require Provider to recall material printed or distributed before the applicable deadline, material published by third parties or the press, copies held in archives, backups, or legal and diligence records, or organic posts that Client did not identify under (b).
(f) Revocation of an individual's Release is governed by that Release.
P.10 Approver and records. Client designates the Approver named in the host instrument or Order Form, together with one alternate. Approvals, objections and revocations sent by email to or from those addresses bind Client, and Client may change them by email. For each approval and Release, Provider keeps a record of who approved, when, and the exact text or file approved, for at least five (5) years after the last use.
P.11 Ownership. Client owns the Client Marks, the Client Content, and the goodwill in them, and all goodwill from Provider's use inures to Client. Provider owns the Case Studies, posts, ads, recordings and other materials Provider creates, except the Client Marks and Client Content embedded in them. Provider will not register or adopt any Client Mark, or any confusingly similar mark, domain or handle. This Schedule does not change the Agreement's intellectual-property terms for Deliverables.
P.12 No payment. Neither party owes the other any fee, royalty or other payment for this license or for any use under it. The license is given as part of the Agreement and is not given in exchange for any fee, discount or term.
P.13 Warranties; responsibility. Client warrants that it owns, or is authorized to license, the Client Marks and the Client Content it supplies, and that the Client Content it supplies does not infringe the rights of any third party, including any photographer or other creator. Client will indemnify Provider against third-party claims that Client Marks or Client Content, as Client supplied them, infringe. Provider is responsible for its own edits and for any use it makes without an approval or Release that this Schedule requires.
P.14 No synthetic endorsements. Provider will not create or publish an AI-generated or synthetic voice, face, likeness or statement of any person at Client or of any customer. Provider will not present AI-generated or AI-altered images as photographs of Client's actual work. Provider may use AI tools for format edits (cropping, color, captions and translation) that do not change what the material depicts.
P.15 Precedence; survival. For the uses it covers, this Schedule controls over any conflicting publicity, marketing, case-study, confidentiality or personal-data term of the Agreement. It survives the end of the Agreement as P.9 provides.
